**
**Purpose**:Senior Legal Manager reporting directly to the Johnson & Johnson Law Department, will be part of a team providing dedicated support as part of Janssen Mexico Law Department Team, providing effective and efficient Legal Advice to the senior management team level and the operational team level of Janssen´s Mexico operations.
**You will be responsible for**:
- Be the Primary business lawyer that will provide broad legal counsel and general legal guidance at the senior management team level and also at operational team level for Janssen Mexico operations.
- Be responsible for providing strategic and operational legal advice and counsel in all areas of law (except Labor issues), so as to support the pharma business and help them achieve their goals, while protecting the company's rights, interests and reputation.
- Be responsible for managing the strategic contract processes.
The types of contracts could include (but are not limited to: master services agreements, distribution agreements, consulting agreements, market research and outcomes research agreements, confidentiality agreements, HCC related agreements, and other general agreements within the Commercial and/or Corporate functions.
- Actively participate in identifying best practices and support strategic initiatives while partnering with other functional and/or commercial areas.
- Conduct training and perform monitoring activities and audits (internal and external scope).
- Partner with other members of the Law Department, the broader Procurement community, Finance, Health Care Compliance, Global Clinical Operations and internal business partners, including senior management, as appropriate, in continued efforts to streamline contract related processes as well as integrate templates in an effort to improve turnaround times to an increasing client base.
- Review and negotiating agreements, including review of redlines and providing related support for the business/categories aligned to the position throughout the contracting process
- Identify and address training for other commercial contracting related needs of internal business partners on an as needed basis, including the community of contract champions within the Supplier Contracting Services team.
- Facilitate internal contract approval and stakeholder negotiation to resolve complex issues and assist in disputes (escalating complex legal and factual issues to the appropriate internal parties, e.g.
Health Care Compliance, Privacy, Johnson & Johnson Law Department).
- Be Liaison with HCC in compliance matters and Procurement, both in a daily basis and performing investigations and audits.
- Handle corporate governance functions (board and shareholders annual meetings, power of attorneys issuance) and the relationship with notaries.
- Manage the relationship with Law Firms, being able, either to evaluate litigation strategies and to perform administrative activities (control the contracts,
the authorization of invoices, register Law firms for procurement purposes, receive periodic and annual reports)
- Assist on the Intellectual Property field, including Patents, Data Protection Exclusivity, and brand protection initiatives to provide Janssen trademarks support and counterfeit & grey market enforcement activities.
- Advise business on its copy clearance materials, regulatory materials and internet-related activities
