The Senior Legal Associate for Mexico will oversee internal legal services for Kinich Energía (the "Company") and the company's affiliates, providing comprehensive legal support to the Company's departments and assisting with administrative activities assigned to the Legal & Compliance department.
The Senior Legal Associate will also collaborate with the Legal Director and Chief Compliance Officer to implement robust legal risk prevention mechanisms aimed at safeguarding the Company's interests.




Key responsibilities include managing disputes and lawsuits, maintaining relationships with lenders and ensuring accurate reporting, and ensuring compliance with relevant regulatory authorities.Key ResponsibilitiesThe Senior Legal Associate will provide internal legal support and advice to the Company, its affiliates, and SPVs.
Their responsibilities include, but are not limited to, the following activities:Litigation and Administrative ProceedingsManage disputes involving the Company, including those received or initiated.Advise on strategies to address disputes and prepare internal reports.Assist external legal counsel with evidence gathering in litigation, arbitration, or administrative procedures, when applicable.Corporate Governance:Handle corporate governance matters for the Company and its subsidiaries, including drafting and reviewing board and shareholder resolutions in compliance with best practices and national regulations.Support the Company's Management, Board of Directors, and the Secretary of the Shareholders' Meeting and Board of Directors,



ensuring alignment with the bylaws and relevant corporate regulations.Oversee the registration of Board and Shareholder resolutions with the commercial registry.Business Development Legal AdviceProvide legal counsel on the Company's major economic activities, including investments, financing, project construction and operation, guarantee issuance, and share or asset transfers.Assist the Legal Director by offering legal advice to management and the business development teams during negotiations, drafting, execution, performance, and amendments of major contracts.Draft legal opinions to support critical business decisions and assist the Legal Director in preparing investment proposals for submission to headquarters.Mergers and Acquisitions (M&A;)Participate in all stages of transactions, including drafting and negotiating preliminary documents such as non-binding offers, binding offers,



letters of intent, and memoranda of understanding.Collaborate with external legal counsel during due diligence processes and provide support to management in determining transaction structures.Draft and negotiate transaction documents, ancillary agreements, and key material contracts.Support the business development team in executing and closing asset or share purchase agreements.Prepare legal and compliance opinions on transactions based on external due diligence findings and available information.General Legal Advice and Contract ManagementProvide legal advice to the Company's departments on various matters.Review, draft,



and manage Company contracts in alignment with the Contract Management Policy.Address labor-related matters from a legal perspective.Draft and review procedural documents and assist external legal counsel with evidence gathering in litigation, arbitration, or administrative procedures, as applicable.Compliance SystemSupport the Compliance Officer (when applicable) in implementing the Company's Compliance System, particularly regarding Anti-Money Laundering, Terrorism Financing, Proliferation of Weapons of Mass Destruction, and the Transparency and Business Ethics Policy.Adapt internal corporate policies to ensure compliance with Mexican laws and regulations.Oversee the protection and proper management of the Company's intellectual property.Administrative IssuesManage procurement processes, including drafting initiation documents, RFPs, evaluation criteria, evaluation reports, and acceptance letters.Prepare payment application forms and payment instructions.Draft and oversee the approval of contract-related documents,



including contract approval sheets.OthersCoordinate and manage the Company's external legal consultants.Review and prepare reports as required by shareholders.RequirementsUniversity Degree in Law and accepted to practice in Mexico.At least 5 years' relevant experience related to Legal & Compliance functions, especially related to civil and commercial disputes and arbitration.Demonstrated analytical and writing skills, results-oriented and hands-on approach.Demonstrated skills and experience in managing disputes and arbitrations.Fluently spoken and written English required; fluently spoken and written Spanish required.Communication, adaptability, leadership.Seniority levelAssociateEmployment typeFull-timeJob functionLegalIndustriesRenewable Energy, Semiconductor Manufacturing
